The following terms and conditions (these “Terms of Use” or “Terms”), govern your access to and use of the our website, including any content, functionality and services offered on or through www.guruexplorers.com (the “Site”), which are operated by or otherwise made available by Guru Explorers LLC or its affiliates (“Guru Explorers” or “we” or “us” or “our“).

Please read the Terms carefully before using our Service. This is an agreement between you and Guru Explorers LLC. By accessing or using the Service, you acknowledge that you have read, understood and agreed to these Terms. Our Privacy Policy (the “Privacy Policy“), explains our collection, use, transmission and disclosure of your personal information provided by or collected from you. By agreeing to be bound by these Terms, you are also agreeing that you have read and understood the collection, use, transmission and disclosure of your personal information or data as described in the Privacy Policy (and as amended from time to time). You should review the Privacy Policy before using the Service.

By using our Services you agree that you are over the age of eighteen (18) years who can form legally binding contracts under applicable law. Our services can be hired by any adult at any time, but regarding underage visitors, we require that they have to be accompanied by an adult in order to take the tour to ensure a safe visit.

If you do not agree to these Terms, you may not access or use the Service. We may update and modify the Terms from time to time. Your continued use of the Service means that you have accepted those modifications.

1. Use of our Services

1.1 Guru Explorers is a tour operator and also an intermediary between the End User and Activities of Affiliates approved by Guru Explorers (the “Affiliates“) published on the Site (the “Services“) through the Site.

1.2 All the Services that are provided on this Site are subject to the Terms and other policies that are understood to be incorporated and linked to them, so we suggest that you thoroughly read and review their details.

1.3 The services and Activities of said Affiliates can be found on this Site including videos, photos, a description, terms of reservation cancellation or an itinerary and additional detailed information for each Activity and more. The services and activities of said affiliates can be found on the website in each section of each tour. It is important to note that the previously specified terms such as any cancelation or change of date terms apply to both Guru Explorers and its affiliates. We encourage you to read them carefully and acknowledge them.

1.4 Guru Explorers promotes the activities of its affiliates as mediator seeking to promote them through our website. Although these activities are under the direct responsibility of the affiliates regarding security and development of the activity, Guru Explorers makes a preliminary study of each of its affiliates ensuring that they have the appropriate standards to provide the promoted services. If you notice any errors or false or derogatory information, please contact Guru Explorers so that this information is removed or corrected immediately.

2. Offers and Discounts

2.1 Any offers or discounts can be availed only during the purchase process or online reservation by entering the applicable promo code.

2.2 The promo codes are only valid for a specific group of Activities, people or categories at a specific time. The time range and the group to which the discount adheres are mentioned in the Terms of Reservation on the page of the Activity.

2.3 In the event that the Explorer has several promo codes from different campaigns, it will not be possible to combine them with other codes or discount campaigns or accumulate them. Each code can only be used once and only for one campaign. Guru Explorers retains the right to reject such requests from the Explorer and only accepts the promo codes under the terms and conditions defined here. A promo code cannot be exchanged for cash payment or convert several discount codes into the purchase of any Activity.

3. Reservation, Changes, Cancellation and Refund Policies

3.1 The reservation of an Activity listed on the Site must be done well in advance. In case there is no availability and the Explorer has already reserved the Activity, amount will be refunded to the original source of payment. All Activities are subject to the availability of the Affiliates and of Guru Explorers, depending on who operates the Activity.

3.2 Once an Activity has been reserved, the Explorer receives a pre-confirmation which contains a code sent by email to allow the Explorer to make use of the Activity.

3.3 The information of the Activity on the Site will indicate the requirements of the Affiliates or of Guru Explorers to perform a particular Activity (for example, physical fitness, weight, height, etc.). Guru Explorers and the Affiliates may reject the realization of the Activity if the Explorer does not comply with the requirements detailed in the Site for each Activity. In case the Explorer does not comply with the requirements that have been communicated prior to the purchase of the Activity, the Explorer will not be entitled to any refund.

3.4 Unless indicated in the information of the Activity on the Site, the transportation service and/or accommodation and/or food and beverages are not included, and must be managed and paid for by the Explorer. The Explorer may not claim any compensation or reimbursement for these additional expenses incurred, neither from the Affiliates nor from Guru Explorers. The Activities will be carried out as they are presented on the Site, without any additional or related service, so the Explorer should not interpret the contrary.

3.5 In case the Explorer does not appear on the date and time of the reserved Activity, and without prior cancellation (in accordance with the terms of cancellation of each Activity, Affiliates or Guru Explorers), the right to do the Activity expires without any rights to claims, reimbursement, interest or any penalty in favor of the Explorer, to the detriment of the Affiliates or Guru Explorers. The details of postponing or cancelling a reservation are included in the particular Activity page under the “Terms of Cancellation” section.

3.6 Guru Explorers and the Affiliates must be informed in advance of any cancellation. Those requests for cancellation by the Explorer are clearly detailed on the website of the Activity in the part “Terms of Cancellation” and can be done only via email. The Explorer must bear in mind that Guru Explorers or the Affiliates may charge fees in the event of cancellation or changes of date of the Activity, which must be confirmed prior by Guru Explorers. These charges and the conditions in order to receive refunds are mentioned on the Activity page in the Terms of Cancelation for each respective Activity.

3.7 In case the cancellation requirements mentioned under Terms of Cancelation on the Activity page are met, Guru Explorers will coordinate the Explorer’s refund within the next 30 business days. The Explorer accepts that she/he assumes any costs such as banking fees or other charges that might arise during the refund process made by Guru Explorers. Guru Explorers cannot be held responsible for any charges or bank fees that might arise and Guru Explorers won’t pay or cover any fees related to the refund.

3.8 As several Activities have a minimum of participants, Guru Explorers reserves the right to cancel and to give a full refund to the Explorer in case other participant(s) cancel their Activity according to the Terms of Cancellation for that Activity and the necessary minimum of participants for the Activity to take place is not met. The last-minute (on the day before the Activity) cancellation by Guru Explorers applies if there is only 1 participant for the Activity left. The remaining participant, the Explorer, will be contacted in the afternoon the day before in case no one else has signed up to meet the minimum number of participants necessary. Guru Explorers will offer the option to refund the entire payment, to postpone the tour to another date on which the minimum number is already met or to do an upgrade to a private solo tour where the remaining Explorer has to pay the difference from “group”- to “private solo”-tour.

3.9 If the Explorer purchased an Activity with a discount code and cancels the Activity, only the price that the Explorer paid will be refunded, not the original price of the Activity. The Activities are not interchangeable; this means that they cannot be changed with another Activity that has the same value. In any case, the Explorer can contact Guru Explorers to request more information about each specific case.

3.10 In the event of an emergency during the Activity, where the guide has to apply the internal emergency protocol, any Explorer participating has no right to request any refund or compensation from Guru Explorers or any other related party, even if the actual Activity reserved cannot be completed. This is due to security and safety standards for every participant.

3.11 Changes of reservations, like dates or hours, inquired by the Explorer, have an additional administrative fee and depend on availability. Thus, any change desired is not confirmed. First, the Explorer has to contact Guru Explorers to check if a change might be possible. If so, Guru Explorers will communicate the administrative fee and any other additional costs that will occur with a change to the Explorer. The Explorer pays those fees and additional costs via Credit card (covering the Credit card fee of 6% commission). In case the Explorer disagrees, there won’t be a change. Further, for every reservation, there is only 1 change possible. Thus, with a change confirmed and implemented by Guru Explorers, the Explorer agrees that the cancellation terms are no longer valid and that he/she does not have any right to claim a refund from Guru Explorers nor demand other changes.

3.12 In case the Explorer makes personal changes on her/his itinerary which is provided by Guru Explorers, the Explorer has to accept any additional charges or possible changes and cancellations by Guru Explorers and its representatives. In case Guru Explorers or its representatives are unable to make the coherent adjustments, the Explorer has to manage the additional adjustments necessary on her/his own without the right to claim a refund from Guru Explorers or its representatives. Thus, the Explorer makes personal changes of the itinerary on their own behalf, risks and costs.

3.13 Any representative of Guru Explorers, if guide, driver, Affiliates, other, or Guru Explorers have the right to reject the participation of the Explorer or one of the other participants joining the Explorer if this person’s safety and health are put at risk. The Explorer as well as any participant involved or affected have no right to claim a refund from Guru Explorers nor its representatives. This decision by Guru Explorers’ representative or Guru Explorers is made in the best interest and for the safety of the person(s) affected and has to be accepted claimlessly.

3.14 Last minute cancellations can occur due to sick guides, no replacements, or any other reason. In case Guru Explorers cancels an Activity, the Explorer has no right to claim any other compensation or refund from Guru Explorers or its Affiliates, except the final price the Explorer paid. The only exception are last minute cancellations due to an unforeseen and uncontrollable external influence, such as a strike, bad weather conditions or similar. In case Guru Explorers is informed about this at or after 8:00 pm before the day of the Activity, the Explorer won’t be eligible for a refund as Guru Explorers already incurred operative and logistical costs.

4. Contracting of the Activities

4.1 Guru Explorers communicates and the Explorer declares and agrees that Guru Explorers has no obligation or liability with respect to an Activity operated by Affiliates after the corresponding confirmation code has been issued, received by the Explorer and confirmed by Guru Explorers. Guru Explorers does not assume nor will it assume any responsibility for damages as a result of Services (including photos of the activities) that the Affiliates markets and that are promoted and paid through the Site or in cash to the Affiliates. The Affiliates is solely responsible for the quality of the Activity and any damage that may occur as a result of it.

Although the activities carried out by each affiliate of Guru Explorers carry direct responsibility of the affiliates, Guru Explorers carries out a study and investigation of each of the affiliated companies that work with them. The standards that are sought before accepting an affiliated company are the highest with respect to quality of service and response time to problems or unexpected situations. That is why the responsibility for any type of damage as a result of the service is and will be strictly handled by the affiliated company since we respect their way of working and their ability to overcome any difficulties. In case they feel that the expectations were not met, all our clients can send us a feedback to Guru Explorers in order to re-asses if we want to keep working with the affiliate in the future.

4.2 Certain Activities may not be suitable for all people due to restrictions posed by limitations in mobility, physical or cognitive disability, pregnancy or various other physical or mental conditions. It is the Explorer’s responsibility to assess the risks and requirements of each Activity in light of such Explorer’s limitations, physical and mental fitness and condition, and any medical requirements or issues of such Explorer. Each Adult reserving with any Minor Explorer (less than 18 years) is joint and severally responsible for the behavior and wellbeing of all Minor Explorer(s) on such reservation, and expressly accepts these Terms on their behalf, including all assumptions of risk and limitations of liability contained herein. Each Adult on a reservation with any Minor Explorer assumes all responsibility for supervising and monitoring such Minor Explorer(s). Guru Explorers does not provide care services for Minor Explorer(s) and Guru Explorers as well as its representatives expressly disclaim any responsibility for chaperoning or controlling any Minor Explorer(s).

4.3 The content and information of the Activity (for example, exclusion criteria, the minimum number of participants, dates, recommendations, etc.) can be found in the Information or in the Terms of Reservation section of each particular Activity on the Site. Guru Explorers publishes its own information and the information provided by the Affiliates of the Activity and it is the Explorer’s obligation to be informed about the Activity. Guru Explorers and/or the Affiliates may reject the realization of the Activity if the Explorer does not comply with the requirements detailed in the Site for each Activity. In case the Explorer does not comply with the requirements that have been communicated prior to the purchase of the Activity, the Explorer will not be entitled to any refund. On the contrary, if the Affiliates rejects the Explorer’s participation in an Activity due to a requirement that is not communicated prior to the purchase of the Activity, the Explorer will receive a full refund made by Guru Explorers. The Affiliates will cover any administrative- and banking- and/or transfer costs that occur during the refund process and will further receive a warning which can end in termination of the collaboration.

4.4 When the Explorer damages the equipment provided by Guru Explorers during the Activity, the Explorer agrees to cover any costs to repair or replace damaged or broken equipment, such as hiking poles, tents and more. This compensation can be made via payment in cash on the same day or online via Credit card (the Explorer will have to cover the transfer costs) to Guru Explorers’ account.

4.5 In case the driver and the guide arrive on the day of the tour and have to wait longer than 5 minutes for the Explorer to show up, the Explorer will automatically lose their tour without the right to any refund. This is to make sure that the pickup process runs efficiently to make every traveler happy and not lose time waiting for others.

4.6 The Explorer and every other participant fully agree on that they participate in the Activity reserved with Guru Explorers or their Affiliates voluntarily, that it might be adventurous, related to risks, and on their own will and initiative.

4.7 The Explorer agrees to follow each and every instruction of Guru Explorers’ or the Affiliates’ guide before, during and after the Activity. In case of non-compliance with any of them, The Explorer declares that he does so under his full responsibility and fully assumes the consequences that this may entail. The Explorer further releases, indemnifies and defends the guide, Guru Explorers LLC, including its staff and any third party that could be affected directly or indirectly. In case the guide neglects the Explorer’s participation during the pickup or during the Activity itself due to reasons that might affect the Explorer’s health and safety, the Explorer has to adhere and either remain in the accommodation, the transport vehicle or do as the guide instructs. In this case the Explorer has no right to claim any refund from anyone.

4.8 The Explorer agrees that she/he has been duly informed about the risks involved in the participation in this Activity, as well as the need to observe and cohere to the safety rules for the participation.

4.9 The Explorer agrees that she/he complies with the physical needs and requirements for the participation in the Activity and is entirely healthy. She/he also assumes the risks of her/his participation in the Activity. Therefore, she/he fully releases and waives any indemnification claim against Guru Explorers, its representatives and employees and all involved in any claim for death or accident, injury or permanent damage of any kind that come up before, during and after the Explorer’s voluntary participation in the Activity.

4.10 The Explorer formally authorizes Guru Explorers to take photos and/or make recordings of her/him before, during and after the execution of the Activity in order to publish and promote this material in the media channels that Guru Explorers considers appropriate.

5. Travel Documents

The Explorer is responsible for being in possession at all times while on an Activity of a valid passport required for entry, departure and travel to each country or region visited throughout the itinerary of the applicable Activity, and for re-entry to the Explorer’s country of residence or departure (passport must be valid 6 months past the last date of travel), as well as all visas, permits and certificates including vaccination certificates and insurance policies. The Explorer accepts full responsibility for obtaining all such documents prior to the start of the Activity and is solely responsible for any adverse consequences resulting from missing or defective documentation. Guru Explorers does not represent or warrant the accuracy of any information or advice given by Guru Explorers regarding visas, vaccinations, climate, clothing, baggage, special equipment, etc. and the Explorer agrees that Guru Explorers is not responsible for any errors or omissions in such information.

6. Descriptions of Activities

6.1 Guru Explorers constantly updates the information of the Activities on the Site. However, the accuracy of those descriptions and the availability of the Activities themselves may vary without knowledge of Guru Explorers. It is the Affiliates who have the responsibility to inform Guru Explorers of any changes.

6.2 All of the photographs and illustrations on the Site are referential. The photographs and illustrations published are the property of the Affiliates or of Guru Explorers. Guru Explorers assumes no responsibility for the property rights of the photos or illustrations of the Affiliates and the latter is responsible for any claim or complaint from third parties.

6.3 Although Guru Explorers offers all the information about all the activities to be carried out and what each one includes, as well as duration, itinerary, recommendations, reservations, cancellations and additional information, it should be noted that only for unavoidable reasons such as sudden changes in the weather, Major immobilizations among others that are beyond the control of Guru Explorers can and could affect the normal development of all the activities described on the website. It should be also noted that although the itinerary will be fully respected, it may be modified regarding the start and end times due to good weather conditions, delays within the tour by the participants among others. Guru Explorers is committed to always giving you the best experience, so it is necessary to understand that there are inescapable situations to which it will be necessary to adapt. We, as Guru Explorers, will always be committed to looking for the best viable option for the services we offer, which, under normal conditions, will adhere to what is exposed within our website for each of our activities without adding anything additional or related to the service.

6.4 The Explorer declares and accepts that many of the Activities may be delayed or canceled due to unforeseeable circumstances or force majeure. Likewise, the Explorer declares to hold Guru Explorers harmless from any inconvenience in the realization of the Activity, and understands that Guru Explorers is an automated Site that allows tourists to reserve Activities offered in Peru, so that Guru Explorers is not responsible for any damage caused in the realization of the Activities.

7. Payment, Delivery and Reservation of Property

7.1 Explorers may pay the Activities online with credit card. The delivery of the confirmation code and the final confirmation of the tour will be via email.

7.2 Guru Explorers does not cover any transfer costs that arise for the Explorer during the payment process.

8. Service Changes by Guru Explorers

8.1 The Affiliates have the obligation to offer the Activity acquired by the Explorer and everything that it includes. In case of changes in the Activity, the Explorer has the right to request a refund without the participation in the Activity. In case the Explorer participated in the Activity where the changes are realized, the Explorer has the right to request a refund for the difference of what she/he reserved and received. Related operative and administrative costs won’t be refunded by Guru Explorers or the Affiliates.

8.2 The Activities can be carried out with vehicles, technical equipment or certain people with special technical knowledge to fulfill the Activity. These are described in the description of the Activity on the Site. In case that during the coordinated date of the Activity these equipments are not available, the Activity Affiliates may find an equivalent replacement. If there is no adequate replacement available, the Activity may be canceled and the Explorer will receive a refund or it may be postponed, depending on the preferences of the Explorer. Guru Explorers does not take any responsibility for these cases nor will it compensate the claims for damages (travel expenses, accommodation, etc.) to the Explorer.

9. Guru Explorers’ Responsibility

9.1 As an intermediary, Guru Explorers will not be responsible for any type of damage caused during the Activity realized by the Affiliates. Both, the Explorer, the Affiliates and Guru Explorers, agree that any damage will be resolved between the Explorer and the Affiliates, excluding Guru Explorers excluded from any process.

9.2 Guru Explorers is only responsible for the direct damages caused by the breach of a contractual obligation with respect to its own services as an intermediary between Explorers and Affiliates. With respect to this, the responsibility of Guru Explorers is limited according to the types of direct damages caused in its capacity as intermediary.

10. Restrictions on Usage

You agree to use the Site and to purchase Service through the Site for legitimate purposes expressly permitted by this Site. You may use the Site and Service for lawful purposes only. You agree to be financially responsible for all purchases made by you or someone acting on your behalf through the Site. You must not without Guru Explorers’ express prior written consent use this Site for any other purpose, including commercial purpose. You shall not broadcast or share through the Site any content that disregard or breaches the rights of others, or which is aggressive, offensive, abusive, derogatory, injurious, libelous, invasive of privacy or publicity rights, indecent, obscene, profane or otherwise objectionable, contains injurious formulas, recipes, or instructions, or which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law.

11. Third Party Websites

There are third party links provided for your convenience on the Site. These websites are provided mainly for your assistance. You understand and agree that we are not accountable or liable for the availability, accuracy, content or policies of third party website or resources. Unless otherwise indicated by us, links to such website or resources do not imply any endorsement by or affiliation with Guru Explorers. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

We review our Site periodically for broken and out-of-date links and we have the right to revise, remove or post links at any time. However, situations which are not controlled by us include links to external websites. These third party links may expire over time. 12. Website Content

Guru Explorers disallows the uploading, posting or otherwise making available on the Site any artwork, photos, videos, audios, text or other submission of material (collectively “Submissions”) protected by copyright, trademark or other proprietary right without the express written permission of the owner of the copyright, trademark or other proprietary right. The burden of determining that any Submissions are not so protected rests entirely with you. You shall be liable for any damage resulting from any infringement of copyrights, trademarks, or other proprietary rights, or any other harm resulting from such a Submission. You represent or warrant that you have the authority to use and distribute all Submissions submitted by you to the Site, as well as any Submissions sent via email to our email address or via mail to our mailing address, and that the use or display of the Submissions will not violate any laws, rules, regulations or rights of third parties.

13. Intellectual Property

The Site and Service contain intellectual property owned by Guru Explorers, including, without limitation, trademarks, copyrights, proprietary information and other intellectual property as well as the www.guruexplorers.com domain name, logo, all designs, text, graphics, other files, and the selection and arrangement thereof, also referred to as the “look and feel.” The entire Content of our Site is protected by intellectual property law, including international copyright and trademark laws. You are prohibited from modifying, publishing, transmitting, participating in the transfer or sale of, creating derivative works from, distributing, displaying, reproducing or performing, or in any way exploiting in any format whatsoever any of the Site or Service Content or intellectual property, in whole or in part without our prior written consent, including any and all text, graphics, code, software, video, audio, or other Content. We reserve the right to immediately remove you from the Service, without refund, or restrict you from access to the Site, if you are caught violating this intellectual property policy.

14. Disclaimers and Limitations of Liability

Additionally, guru explorers is not liable for damages in connection with (a) any failure of performance, error, omission, denial of service, attack, interruption, deletion, defect, delay in operation or transmission, computer virus or line or system failure; (b) loss of revenue, anticipated profits, business, savings, goodwill or data; and (c) third party theft of, destruction, of, unauthorized access to, alteration of, or use of your information or property, regardless of our negligence ,gross negligence, failure of an essential purpose and whether such liability arises in negligence, contract, tort, or any other theory of legal liability. This applies even if Guru Explorers was advised of the possibility or could have foreseen the damages.

You agree that you are voluntarily purchasing services, participating in recommended activities, and using this website and assume all risks of injury, illness, or death.

You acknowledge that you have carefully read this “Waiver and Release of Liability” and fully understand that it is a release of liability. you expressly agree to release and discharge all indemnified parties (as defined below) from any and all claims or causes of action and you agree to voluntarily give up and irrevocably waive and release any right that you may otherwise have to bring a legal action against any indemnified party for personal injury or property damage.

Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the foregoing disclaimers, exclusions or limitations may not apply to you, and you might have additional rights.

15. Indemnification

Explorer shall indemnify and hold us harmless from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments and expenses, as well as third party claims and causes of action, including, without limitation, attorneys’ fees, arising out of any breach by you of any of these Terms, or any use by you of the Site or Service. You shall provide us with such assistance, without charge, as we may request in connection with any such defense, including, without limitation, providing us with such information, documents, records and reasonable access to you, as we deem necessary. You shall not settle any third party claim or waive any defense without our prior written consent.

16. Effect of Headings

The subject headings of the paragraphs and subparagraphs of these Terms are included for convenience only and shall not affect the construction or interpretation of any of its provisions.

17. Entire Agreement; Waiver

These Terms constitute the entire agreement between you and Guru Explorers pertaining to the Site and Service and supersede any and all prior and contemporaneous agreements, representations, and understandings between us. No waiver of any of the provisions of this Guru Explorers shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by Guru Explorers.

All notices, requests, demands, and other communications under this Agreement shall be in writing and properly addressed as follows:

19. Force Majeure

Guru Explorers will not be responsible for any loss, delay, or failure before the Explorer and any other participant, while those are already traveling, or while Guru Explorers performs any Activity. The Explorer is not able to claim any refund by Guru Explorers. This includes every moment from the moment the Explorer completed the booking online until the end of the Explorer’s journey. This loss, delay, or failure may result directly or indirectly from any cause or circumstance beyond Guru Explorers’ reasonable control, including, but not limited to faults in equipment or lines of electronic or mechanical communication, telephone or other problems of interconnection, computer viruses, unauthorized access, theft, errors of the operator of public telecommunications services, severe weather, earthquakes, natural disasters or other natural causes that make the performance of the Activity impossible, diseases, global crisis, epidemics, pandemics, strikes or other labor problems, political problems, wars, or government restrictions. This also applies in case Guru Explorers needs to cancel the Explorer’s Activity in advance, as well as on the day of the Activity or while performing the Activity, due to any of the reasons mentioned above. The Explorer is unable to claim any refund by Guru Explorers or any other third party involved and contracted by Guru Explorers.

20. Governing Law; Venue; Arbitration

This Agreement shall be construed in accordance with, and governed by, the laws of Peru as applied to contracts that are executed and performed entirely in. The exclusive venue for any arbitration or court proceeding based on or arising out of this Agreement shall be Peru. Any dispute between you and us, excluding any intellectual property right infringement claims we pursue against you, shall be settled solely by confidential binding arbitration per the commercial arbitration rules. All claims must be arbitrated on an individual basis, and cannot be consolidated in any arbitration with any claim or controversy of anyone else. All arbitration must occur in Peru. Each party shall bear one half of the arbitration fees and costs incurred, and each party is responsible for its own lawyer fees.

21. Severability

If any term, provision, covenant, or condition of these Terms is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Terms shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.

22. Assignment

The Explorer acknowledges and agrees that Guru Explorers may assign its contractual position or any of its rights or obligations, or sell its assets to any third party without the need to inform the Explorer and obtain her/his prior and express consent.

23. Modification of Terms

We may at any time amend these Terms. Such amendments are effective immediately upon notice to you by us posting the new Terms on this Site. Any use of the Site or Service by you after being notified means you accept these amendments. We reserve the right to update any portion of our Site and Service, including these Terms at any time. We will post the most recent versions to the Site and list the effective dates on the pages of our Terms.
